Formerly known as CEA Industries Inc., it presents its Nasdaq-listed shares as a way for public-market investors to gain exposure to a company holding BNB, while stating that shareholders do not directly own the BNB in its treasury.[[1]](#cite-id-czqvqvlsra)[[2]](#cite-id-qa176hjnl2)\n\nThe company also operates retail and industrial businesses. After a strategic transformation, it reports two segments: BNB Treasury Management and Retail and Industry, the latter comprising Fat Panda retail operations and the Surna industrial climate-control business.[[3]](#cite-id-n1inzgi9ac)\n\n## Overview\n\nBNB Standard Corporation is a Nasdaq-listed company whose principal strategy is to hold [BNB](https://iq.wiki/wiki/binance-coin) in its corporate treasury and report its holdings and related treasury metrics through a public dashboard.[\\[1\\]](#cite-id-czqvqvlsra)[\\[2\\]](#cite-id-qa176hjnl2) Its other operations are in retail and industrial climate-control systems through Fat Panda and Surna, respectively.[\\[3\\]](#cite-id-n1inzgi9ac) BNC shares provide public-market exposure to the company, not direct ownership of the BNB it holds.[\\[2\\]](#cite-id-qa176hjnl2)\n\n## History\n\nBNB Standard was formerly incorporated as Surna Inc. and later operated as CEA Industries Inc. It acquired Fat Panda Ltd. and related entities on June 6, 2025, adding Canadian retail operations to its businesses.[\\[1\\]](#cite-id-czqvqvlsra)[\\[3\\]](#cite-id-n1inzgi9ac)\n\nThe company described its BNB treasury strategy as established in July 2025. On July 28, 2025, it entered securities purchase agreements for a private placement with estimated gross proceeds of approximately $500 million. The placement included common stock priced at $10.10 per share, pre-funded warrants, and stapled warrants; the capital was expressly intended to implement the [BNB](https://iq.wiki/wiki/binance-coin) treasury strategy.[\\[1\\]](#cite-id-czqvqvlsra)\n\nOn October 13, 2026, BNB Standard announced a new corporate website and an expanded treasury dashboard. In that announcement, the company identified November 2025 as when it launched its [digital-asset](https://iq.wiki/wiki/digital-assets) treasury strategy and introduced its first dashboard, which was updated intraday. The July financing and November launch are distinct milestones in the company’s descriptions.[\\[4\\]](#cite-id-gbduvrlt4r)\n\nThe company changed its name from CEA Industries Inc. to BNB Standard Corporation effective September 29, 2026. It filed restated articles of incorporation reflecting the name change and adopted amended and restated bylaws on October 2, 2026.[\\[5\\]](#cite-id-x1al9toci3)\n\n## Treasury Strategy and Reporting\n\nBNB Standard accumulates and holds BNB through its public-company treasury strategy, which it says is designed to grow the value of [digital-asset](https://iq.wiki/wiki/digital-assets) holdings per share. BNB pays [transaction fees](https://iq.wiki/wiki/transaction-fee) across [BNB Chain](https://iq.wiki/wiki/binance-smart-chain). [Staking](https://iq.wiki/wiki/staking) or delegating [BNB](https://iq.wiki/wiki/binance-coin) supports [validator](https://iq.wiki/wiki/validator) participation and network security and can earn rewards; BNB also enables participation in network governance and is used by [DeFi](https://iq.wiki/wiki/defi) protocols and [decentralized applications](https://iq.wiki/wiki/decentralized-application) for fees and other ecosystem activity.[\\[2\\]](#cite-id-qa176hjnl2)[\\[8\\]](#cite-id-pcvbforvy1)\n\n[BNB Chain](https://iq.wiki/wiki/binance-smart-chain)’s quarterly Auto-Burn calculates the amount to burn using BNB’s price and the number of [blocks](https://iq.wiki/wiki/block) produced on BNB Smart Chain, then permanently removes that [BNB](https://iq.wiki/wiki/binance-coin) from circulation. Separately, a validator-determined fixed ratio of [gas](https://iq.wiki/wiki/gas) fees is burned in each block, also reducing BNB supply.[\\[8\\]](#cite-id-pcvbforvy1)[\\[9\\]](#cite-id-e42owmhhhj)\n\nThe treasury is held through a company structure that includes CEA BRS LLC, a wholly owned Delaware limited liability company, and BNC BNB Cayman, a Cayman Islands exempt company held through CEA BRS LLC that holds treasury BNB.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nThe company’s public dashboard reports BNB holdings, BNB-related [airdrop](https://iq.wiki/wiki/airdrop) income since inception, and treasury measures including market net asset value (mNAV) and adjusted net asset value per diluted share. It presents adjusted net asset value as a supplemental non-GAAP measure and provides a dual reconciliation: a bridge from reported net assets and an independent component build. The company says its dashboard labels values by source and feed status, publishes formulas and tolerances for its two calculation methods, and reconciles the measure to a comparable generally accepted accounting principles (GAAP) measure; it also states that Securities and Exchange Commission (SEC) filings control.[\\[2\\]](#cite-id-qa176hjnl2)[\\[1\\]](#cite-id-czqvqvlsra)\n\nThe dashboard’s diluted share count is derived from disclosed instruments, including warrants, options, restricted stock units, and a convertible note, with each instrument carried at its own strike. BNB Standard says the dashboard’s measures are reconciled to comparable GAAP measures and that the company’s SEC filings, press releases, and dashboard methodology form part of its investor reporting.[\\[2\\]](#cite-id-qa176hjnl2)[\\[1\\]](#cite-id-czqvqvlsra)\n\nBNB Standard describes its listed shares as public-market exposure to a BNB treasury available through a standard brokerage account, while emphasizing that ownership of BNC shares does not confer direct ownership of BNB. The company states that its materials are not investment advice.[\\[2\\]](#cite-id-qa176hjnl2)\n\n## Business Segments\n\nBNB Standard evaluates its two segments to guide whether profits are reinvested in a segment or allocated elsewhere in the company. At July 31, 2026, it reported total assets of $327.2 million, including $304.5 million in digital assets, or 93.1% of total assets. Segment assets were $309.4 million for BNB Treasury Management, $16.6 million for Retail and Industry, and $1.2 million for Corporate. At April 30, 2026, digital assets represented 94.6% of total assets; BNB Treasury Management had $320.6 million in segment assets and Retail and Industry had $16.9 million.[\\[3\\]](#cite-id-n1inzgi9ac)\n\n### Retail and Industry\n\nFat Panda and related entities retail and manufacture e-cigarettes, vape devices, and e-liquids in Central Canada. At April 30, 2026, the business operated 34 locations—30 Fat Panda stores and four Electric Fog outlets—in Manitoba, Ontario, and Saskatchewan. Its operations also include in-house e-liquid manufacturing, a Winnipeg distribution hub, and an e-commerce platform.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nFat Panda-branded subsidiaries stopped selling cannabis products and removed them from retail shelves, as reported in the company’s August 8, 2025 Form 8-K. Fat Panda’s combined fiscal 2026 revenue was $27.623 million, compared with $27.992 million in the predecessor’s year ended April 30, 2025; the fiscal 2026 Form 10-K treats Fat Panda as a predecessor entity for accounting purposes.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nThe legacy industrial business operates under the Surna brand, designing, engineering, and selling climate-control systems for controlled-environment agriculture. The company says Surna seeks customer relationships that can lead to the supply of capital equipment across the construction lifecycle of indoor agriculture facilities. Surna’s registered trademarks are held in the United States.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nSurna recorded $1.712 million in fiscal 2026 revenue against $2.0 million in associated costs. BNB Standard attributed the negative margin to project-management and manufacturing salaries and overhead exceeding the margin from equipment sales. Industrial climate-control revenue was not reported for the predecessor year ended April 30, 2025.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nAll consolidated revenue in fiscal 2026 came from Retail and Industry; the company reported no revenue from BNB Treasury Management. Total fiscal 2026 revenue was $29.335 million, comprising $27.623 million from Fat Panda and $1.712 million from industrial climate-control systems. The BNB Treasury Management segment recorded a $129.5 million loss, driven by unrealized changes in digital-asset fair value, while the company recognized $7.9 million in [airdrop](https://iq.wiki/wiki/airdrop) income. BNB Standard said the decline in [BNB](https://iq.wiki/wiki/binance-coin) market prices during the fiscal year affected the carrying value of its digital assets far more than the operating results of Retail and Industry.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nFor the three months ended July 31, 2026—the first quarter of fiscal 2027—consolidated revenue was $7.2 million: $7.1 million from Fat Panda, including $6.8 million in retail and $0.3 million in e-commerce, and $0.1 million from industrial climate-control systems. Revenue in the comparable combined prior-year quarter was $7.5 million, a 4.6% decline that the company attributed to a discontinued product line and lower business-to-business e-commerce volume. BNB Standard reported a pre-tax loss of $11.3 million for the quarter; BNB Treasury Management accounted for a $16.2 million loss, including a $15.3 million unrealized digital-asset loss, while Retail and Industry recorded a $0.5 million loss.[\\[3\\]](#cite-id-n1inzgi9ac)\n\nThe company identifies retail, nicotine-product regulation, manufacturing, and customer concentration as risks to its operating businesses, alongside [digital-asset](https://iq.wiki/wiki/digital-assets) risks associated with its treasury strategy. Its fiscal 2026 Form 10-K was filed on June 23, 2026, and its fiscal 2027 first-quarter Form 10-Q was filed on September 11, 2026; the latter updated the company’s risk disclosures.[\\[3\\]](#cite-id-n1inzgi9ac)\n\n## Governance\n\nBNB Standard held a 2026 Special Meeting in Lieu of Annual Meetings of Stockholders on July 22, 2026. Six directors were elected at the meeting, according to a Form 8-K filed on July 24. A Cooperation Agreement with [YZi Labs,](https://iq.wiki/wiki/binance-labs) dated June 23, 2026, added three directors, established a chief executive officer search process, and amended the bylaws.[\\[5\\]](#cite-id-x1al9toci3)[\\[6\\]](#cite-id-dssad2xdjq)\n\nThe board’s standing committees are Audit, Compensation, and Nominating and Governance. Glenn W. Tyranski chairs Audit and is identified as the board’s audit committee financial expert; Annemarie Tierney chairs Compensation; and Carly E. Howard chairs Nominating and Governance. The board also formed ad hoc CEO Search, Strategic, and Litigation committees, chaired respectively by [Matthew Roszak](https://iq.wiki/wiki/matthew-roszak), Tierney, and Tierney.[\\[5\\]](#cite-id-x1al9toci3)[\\[6\\]](#cite-id-dssad2xdjq)\n\nThe company adopted a stockholder rights plan on December 26, 2025. On September 4, 2026, it filed restated articles of incorporation that restated the articles then in effect without amending them, and filed certificates withdrawing the Series A Preferred and Series B Convertible Preferred designations; neither series had outstanding shares, and authorized capital stock was unchanged.[\\[5\\]](#cite-id-x1al9toci3)\n\nOn October 28, 2026, BNB Standard filed a definitive proxy statement for a special stockholder meeting scheduled for December 4, 2026, at noon Eastern Time, to be held online. Stockholders of record on October 8, 2026, were entitled to vote on the CEA Industries Inc. 2025 Equity Incentive Plan and the BNB Standard Corporation 2026 Equity Incentive Plan.[\\[5\\]](#cite-id-x1al9toci3)\n\n## Leadership and Board\n\nBNB Standard has a seven-member board chaired by Carly E. Howard. The directors are Howard, Alex Odagiu, [Matthew Roszak](https://iq.wiki/wiki/matthew-roszak), [Anthony Scaramucci](https://iq.wiki/wiki/anthony-scaramucci), Annemarie Tierney, Glenn W. The company’s committee-composition table identifies Howard, Roszak, Tierney, and Tyranski as independent directors.[\\[6\\]](#cite-id-dssad2xdjq)[\\[5\\]](#cite-id-x1al9toci3)\n\nOdagiu became chief executive officer effective October 19, 2026, on the recommendation of the board’s CEO Search and Nominating and Governance committees.
